Terms & Conditions

By creating an account on or using the Vinimay platform — including the website at vinimay.in, the web application at app.vinimay.in, and the Vinimay Android and iOS applications (together, "the Service") — you agree to be bound by these Terms and Conditions.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms. References to "you" include both the individual user and that business.

If you do not agree to these terms, do not use the Service.

Vinimay is a cloud-based business management platform providing GST billing, inventory management, party ledgers, financial reports, and related tools for Indian businesses. The Service is available through a web browser, Android application, and iOS application.

We reserve the right to modify, suspend or discontinue any part of the Service at any time. We will provide reasonable advance notice of any material changes that affect your active subscription.

You must be at least 18 years of age to use the Service. The Service is intended for use by businesses, sole proprietors, and professionals operating in India. By using the Service you confirm that you are eligible to enter into a legally binding contract under applicable Indian law.

You are responsible for maintaining the security of your account credentials. You must not share your password with any third party, and you are responsible for all activity that occurs under your account.

You must notify us immediately at contact@vinimay.in if you become aware of any unauthorised access to your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, in violation of these terms, or in a manner that endangers other users or the Service.

Free plan: Vinimay offers a free plan that includes up to 75 sales invoices and unlimited items, parties, and basic features. No payment method is required to start.

Paid plans: When your free quota is exhausted or you choose to upgrade, you may subscribe to a paid plan. Prices are displayed on the Pricing page and at checkout. All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

Billing cycle: Paid plans are billed in advance for a 30-day period. A monthly subscription renews automatically at the end of each period. A one-time payment expires after 30 days and does not auto-renew.

Payment processing: Payments are processed by PhonePe, a licensed payment aggregator regulated by the Reserve Bank of India. By completing a payment you also agree to PhonePe's terms of service. We do not store your card, UPI or netbanking credentials.

Price changes: We will give you at least 30 days' notice before changing the price of your current plan. You may cancel before the new price takes effect.

You may cancel your subscription at any time from within the app or by writing to contact@vinimay.in. Cancellation takes effect at the end of the current billing period — you retain full access until then.

When a subscription ends you revert to the free plan. Your data — invoices, items, parties, ledgers and reports — remains intact and accessible. Nothing is deleted unless you explicitly request account deletion.

You agree not to use the Service to:

• Create invoices or records for transactions that are illegal under Indian law.
• Upload or transmit content that is defamatory, obscene or in violation of any third party's rights.
• Attempt to gain unauthorised access to any part of the Service or to another user's account.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile or attempt to extract the source code of the Service.
• Resell, license or sublicense the Service to third parties without our written permission.
• Use the Service to facilitate any transaction prohibited under the guidelines of the Reserve Bank of India or any other applicable regulatory authority.

All software, designs, logos, trademarks and content comprising the Vinimay Service are owned by us or our licensors and are protected by applicable intellectual property laws. Nothing in these terms grants you any ownership right in the Service.

Your data is yours. You retain full ownership of all business data you enter into the Service — invoices, items, parties, ledgers, and all other records. We claim no intellectual property rights over your data. You may export it at any time in PDF or CSV format.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free or free from viruses or other harmful components.

Not legal or tax advice: Vinimay generates GST-compliant invoices and summary reports, but this does not constitute legal or tax advice. You are responsible for verifying the accuracy of your own GST filings and for complying with all applicable tax laws. We recommend consulting a qualified Chartered Accountant for filing and compliance decisions.

AI assistant: The AI Assistant is an automation tool. It shows you a preview of every action before executing it. You are responsible for reviewing and confirming any action the assistant proposes. We are not liable for actions confirmed and executed at your direction.

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunities, arising out of or in connection with your use of or inability to use the Service.

Our total cumulative liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 3 months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Vinimay and its officers, directors, employees and agents from any claims, liabilities, damages or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, or from the content you enter into the Service.

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

We encourage you to contact us first at contact@vinimay.in before initiating any formal proceedings — most disputes can be resolved quickly through direct communication.

We may update these Terms from time to time. For material changes we will notify you by email at least 7 days before the new terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
